Terms of Service

1. Acceptance of Terms

By registering for, accessing, or using the Eva Excelsior global eTrade platform ("Platform"), you ("User") agree to comply with and be legally bound by these Terms of Service ("Terms"), whether or not you become a registered user of the Platform.

2. Platform Services

Eva Excelsior provides an integrated platform for international trade, including but not limited to:

• Product catalog and e-commerce marketplace
• Auction and reverse auction facilities
• Trade finance instruments (LC, Bank Guarantee, ECGC insurance)
• Logistics and shipment tracking
• Compliance management and regulatory tools
• Document management and verification

3. User Accounts

3.1 Registration

To access certain features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify Eva Excelsior of any unauthorized use of your account.

3.3 Account Types

• Buyer Accounts: For businesses purchasing goods and services
• Seller Accounts: For businesses offering goods and services
• Dual Accounts: For businesses engaged in both buying and selling

4. User Conduct

You agree not to:

• Violate any applicable laws or regulations
• Infringe upon intellectual property rights of others
• Post false, inaccurate, misleading, or defamatory content
• Engage in fraudulent activities or misrepresent your identity
• Interfere with or disrupt the Platform's operation
• Attempt to gain unauthorized access to the Platform or other users' accounts
• Use the Platform for any illegal trade activities

5. Trade Transactions

5.1 Buyer-Seller Relationship

Eva Excelsior acts as a facilitator for trade transactions. The actual contract for sale and purchase is directly between the buyer and seller. Eva Excelsior is not a party to such transactions.

5.2 Payment Terms

Payment terms, methods, and schedules are agreed upon between buyers and sellers. Eva Excelsior may facilitate certain payment processes but assumes no liability for payment disputes.

5.3 Trade Finance

Trade finance services (LC, Bank Guarantee, etc.) are provided through partner financial institutions. Terms and conditions of such services are governed by separate agreements with those institutions.

6. Compliance and Regulations

Users are responsible for compliance with all applicable import/export regulations, sanctions, customs laws, and trade regulations in their respective jurisdictions. Eva Excelsior provides compliance tools but users remain solely responsible for their compliance obligations.

7. Intellectual Property

All content, features, and functionality of the Platform are owned by Eva Excelsior and are protected by international copyright, trademark, and other intellectual property laws.

8. Limitation of Liability

To the maximum extent permitted by law, Eva Excelsior shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform.

9. Termination

Eva Excelsior reserves the right to suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Gujarat, India.

11. Changes to Terms

Eva Excelsior reserves the right to modify these Terms at any time. We will notify users of material changes via email or platform notification. Continued use of the Platform after such changes constitutes acceptance of the modified Terms.
